Qualcomm rejects Broadcom's final $146 billion offer

Broadcom Offers $123 Billion For Qualcomm Qualcomm Rejects Broadcom's Higher $121 Billion Hostile Bid
Troy Mann | 09 February, 2018, 02:47

US semiconductor company Qualcomm Inc on Thursday rejected Broadcom Ltd's revised $121 billion (86.81 billion pounds) buyout offer, but proposed meeting its peer to see whether they can address what it called the bid's "serious deficiencies in value and certainty".

Broadcom changed its offer to hit $82/share earlier this week ($60 in cash, $22 in Broadcom stock).

It's reported that Qualcomm is willing to meet with Broadcom to try and get a price that it deems itself to be worthy of, so if Broadcom continues to offer more cash, we may be looking at a buyout. Here's Qualcomm's letter to Broadcom: -- February 8, 2018 Mr. Hock Tan President and Chief Executive Officer Broadcom Limited 1 Yishun Avenue 7 Singapore 768923 Dear Mr. Qualcomm claims that the $121 billion offer materially undervalues the company. Still, Qualcomm's second dismissal of Broadcom's approach may put the decision in the hands of shareholders, who will vote March 6 on whether to replace the smartphone-chip maker's board with Broadcom's own nominees.

Even though Broadcom has promised to pay a large breakup fee in the event regulators thwart the deal, as well as a "ticking" fee if the deal takes more than 12 months to close, Qualcomm believes Broadcom needs to offer a "hell-or-high-water" legal commitment to complete the deal irrespective of divestitures that antitrust watchdogs around the world may require.

"Your proposal is inferior relative to our prospects as an independent company and is significantly below both trading and transaction multiples in our sector", Chairman Paul Jacobs wrote in an open letter to Broadcom's Tan. Regulators may decide that it would be nearly a monopoly on the smartphone chip market. That $47 billion deal is close to securing final regulatory approval. Qualcomm is a wireless telecommunications giant that provides chips to mobile carrier networks to deliver broadband and data. However, reports have emerged that Qualcomm's leadership is fiercely opposed to the deal.

This was the latest offer to be rejected by Qualcomm. It is indisputable that there are significant regulatory hurdles in your proposed transaction.
